J&B GROUP, located in St. Michael, Minnesota, (approximately 30 miles from Minneapolis/St. Paul) was established in 1979 as a distributor of meat products to meat markets and retail grocery stores. A federally inspected production plant was added in 1986. A sales service center was opened in Fargo, North Dakota in 1990 and a distribution/sales service center was started in Omaha, Nebraska in 1995. A deli product division was added in March of 1998 at the St. Michael plant. Our production/distribution plant in St. Michael has been HACCP certified since January 1999. The company presently employs approximately 450 people.

| J&B produces and markets premium products under the No NameŽ and Midwest PrideŽ labels. The No NameŽ presentation includes the Original, Petite, Pork Chops, Boneless and Skinless Chicken Breasts, Boneless and Skinless Salmon Fillets, Natural Casing Wieners, and Thick Sliced Bacon. The Midwest PrideŽ family includes a variety of products such as steak, ham, bacon, wieners, sausage, bratwurst and deli salads.

| The company also produces portion control steaks for the restaurant and institutional markets. This product is produced under the Midwest PrideŽ label, or the individual company's private label. Product is manufactured in J&B's fully automated state-of-the-art facility and distributed to the industry by independent distributors.

| Over 3,000 customers are serviced in Minnesota, Iowa, Wisconsin, North and South Dakota, Nebraska, and parts of Illinois, Kansas, Michigan and Missouri. These regions are serviced by J&B's fleet of trucks, with over 3,000,000 miles driven per year. In the spring of 2000, J&B expanded their distribution area to service customers in the Madison/Milwaukee area of Wisconsin.

| J&B Cold Storage, a 94,000 sq. ft. facility, was opened in November 1995. This computerized facility has controlled ammonia refrigeration, blast freezing, an inventory tracking system, distribution, picking and sorting capabilities, and frozen/refrigerated storage capacities. The facility has been approved for Russian exports.
